Where required, the FFPL Board adheres to the Public Libraries Act as it relates to its composition. The purpose of this by-law is to guide the Municipal Council’s appointment process and the FFPL Board’s appointment of its officers.

    Composition

    1. In accordance with the Public Libraries Act s. 9(1), the FFPL Board shall be composed of at least five members appointed by the Municipal Council.
    2. In accordance with the Public Libraries Act s. 10(4), the Municipal Council shall appoint all FFPL Board members at the first meeting of Municipal Council in each term.
    3. In accordance with the Public Libraries Act s 10(1), a person is qualified to be appointed as a member of the FFPL Board who

      • is a member of the appointing council

      or

      • is at least eighteen years old
      • is a Canadian citizen
      • is a resident of one or more of the following:

        • The municipality
        • A municipality which has entered into a contract for library services with the FFPL Board
        • A band which has entered into a contract for library services with the FFPL Board
        • A service board area which has entered into a contract for library services with the FFPL Board
      • is not employed by any of the following:

        • The FFPL Board
        • The municipality
        • A municipality which has entered into a contract for library services with the FFPL Board
        • A band which has entered into a contract for library services with the FFPL Board
        • A service board area which has entered into a contract for library services with the FFPL Board
    4. In accordance with the Public Libraries Act s. 10 (2a), the Municipal Council shall not appoint more of its own members to the FFPL Board than the number that is one less than a majority of the FFPL Board.
    5. In accordance with the Public Libraries Act s. 10 (3), a FFPL Board member shall hold office for a term concurrent with the term of the appointing Municipal Council, or until a successor is appointed, and may be reappointed for one or more further terms.
    6. In accordance with the Public Libraries Act s. 13, if any members of the FFPL Board are disqualified from holding office, the members shall forthwith declare the seat vacant and notify the Municipal Council accordingly.

      Disqualification may occur if a FFPL Board member:

      1. is convicted of an indictable offence;
      2. becomes incapacitated;
      3. is absent from the meetings of the FFPL Board for three consecutive months without being authorized by a FFPL Board resolution;
      4. ceases to be qualified for membership under clause 10(1)(c); or
      5. otherwise forfeits his or her seat.
    7. In accordance with the Public Libraries Act s.12, when a vacancy arises in the membership of the FFPL Board, the Municipal Council shall promptly appoint a person to fill the vacancy and to hold the office for the unexpired term, except where the unexpired term is less than forty-five days. The new appointment’s term will be concurrent with the term of the FFPL Board.

    Officers

    1. In accordance with the Public Libraries Act s. 14-15, the officers of the FFPL Board are the Chair, the Secretary, the Treasurer and the Chief Executive Officer (CEO).
    2. The FFPL Board shall designate a Vice-chair as an officer at the first meeting in a new term.
    3. In accordance with the Public Libraries Act s. 14(3), the Chair shall be elected at the first meeting in a new term.
    4. In accordance with the Public Libraries Act s. 15(2) the FFPL Board shall appoint a CEO who shall have general supervision over and direction of the operations of the FFPLTC and its staff, shall attend all FFPL Board meetings and shall have the other powers and duties that the FFPL Board assigns to him or her from time to time.
    5. In accordance with the Public Libraries Act s. 15(3)(4) the FFPL Board shall appoint a Secretary and Treasurer.
    6. The FFPL Board shall appoint the CEO as Secretary and Treasurer as allowed by the Public Libraries Act s. 15(5).
    7. If any officer steps down, retires or is dismissed during his or her term, the FFPL Board must immediately elect or appoint a new officer.
